Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and AlphaNode Technologies ("AlphaNode Technologies", "we", "us", "our"), the operator of Meo Studio (the "Service"). Please read them carefully. By creating an account, ticking a confirmation box, uploading anything, buying credits or using the Service in any way, you accept these Terms. If you do not accept them, do not use the Service.

Plain summary (the full Terms below always prevail): you may only upload material you own or have every necessary right and consent for; you alone are responsible for your uploads and for what you do with the results; we do not allow the likeness of real people, including celebrities and other public figures, to be used without their permission; and to the fullest extent the law allows, we are not liable for your uploads or their use.

1. Definitions

• "Upload" or "User Content": any photo, image, video, audio, text, prompt or other material you submit to the Service, by any means (website, API, MCP server or any other interface).
• "Output": any image, video or other result the Service generates for you.
• "Likeness": a person's face, body, image, voice, name, signature, distinctive appearance or any other feature that identifies them or suggests them, including a close resemblance or imitation.
• "Public Figure": any person who is well known to the public, including actors, musicians, athletes, influencers, creators, politicians, officials, royals, business leaders and other celebrities, living or deceased.
• "Model Providers": the third parties whose AI models we use to process Uploads and create Outputs (for example BytePlus / ByteDance, Higgsfield, Alibaba Cloud and our own hosted models).

2. Eligibility and your account

• You must be at least 18 years old, or the age of majority where you live if higher, and legally able to enter into this agreement. The Service is not for children.
• If you use the Service for a company or other organisation, you confirm you are authorised to bind it, and "you" includes that organisation.
• Give accurate information, keep your password and API keys secret, and tell us promptly about any unauthorised use. You are responsible for all activity under your account and keys.
• The free Genjutsu offer is one video per person. Creating extra accounts to claim it again, or to avoid a suspension, is not allowed.

3. The Service

• Meo Studio lets you create images and videos with third-party and self-hosted AI models, including the hybrid filmmaking studio. AI results are probabilistic: they can be inaccurate, unexpected, similar to other people's results, or unsuitable. You must review every Output before you use it.
• We may add, change, reroute, suspend or remove models, features, prices and limits at any time, including sending a request to a different Model Provider that can process it.
• Model names such as Seedance, Kling, Wan and others belong to their makers. Meo Studio is not affiliated with, sponsored or endorsed by them. Seedance 2.0 and Seedance 2.5 are ByteDance's video models, which we run through BytePlus and Higgsfield. See ByteDance Seed's official site for their own demos and research.
• Reference clips offered in the Service come from Pexels under the Pexels License. They are provided only as inputs for your creations and may not be downloaded, redistributed or resold on their own.
• Your use of Outputs made with a model is also subject to that Model Provider's usage policies. Where they are stricter than these Terms, the stricter rule applies.

4. Credits, plans and payments

• Credits are a prepaid licence to use the Service. They have no cash value, cannot be exchanged for money, and cannot be sold or transferred.
• Monthly plan credits reset each billing month and do not carry over, except the Studio plan, which carries unused credits over for one month. If you switch to a different plan while your current plan is active, its unused credits are added to the new plan. Credit packs bought on a plan stay usable while you have an active plan.
• The film studio is available with an active paid plan. Film credits are top-ups for plan holders: they never expire, but can only be used while you have an active plan. Film credit loads bought before 27 September 2026 keep the 12 months of access they came with.
• The credits for a creation are shown before you start it. If a generation fails, is blocked or is cancelled before it starts, its credits are returned automatically.
• Prices can change. A change never affects a period or a credit load you have already paid for. Refunds are handled under our Refund Policy.

5. Your uploads: rights, consent and responsibility

You keep whatever rights you own in your Uploads. Every time you upload, you make the confirmations below, and each one is recorded with the date, time and your account. You confirm, warrant and promise that:

1. Ownership or licence. You own the Upload, or you hold every licence, permission and release needed to upload it and to create, use, publish and commercialise Outputs from it in the way you intend.
2. Consent of every person shown. Every identifiable person in the Upload (including you) has given explicit, informed, written consent to be shown, edited and turned into AI-generated images and videos for your intended purpose, and has not withdrawn it. For anyone under 18, a parent or legal guardian has given that consent, and the use is lawful and appropriate.
3. Proof on request. You will keep that written consent and those licences for at least as long as you use the Upload or its Outputs plus three years, and give us a copy within 7 days if we ask.
4. No infringement. The Upload and your use of it and of the Outputs do not infringe or violate anyone's copyright, trademark, design, trade secret, privacy, data protection, publicity, personality, moral or any other rights, or any law, contract or duty of confidence.
5. Lawful and accurate. The Upload was lawfully obtained, contains no malware, and does not contain other people's sensitive personal data (such as health, biometric or financial data) beyond what is visible in the image or video itself and consented to.

Product links (Marketing Studio). When you paste a link to a product page, our system reads that single page on your request to fetch the product's name, description, price and photos, and copies the photos you choose into your account as your Uploads. By doing so you confirm that the product is yours or that you are authorised by its owner to advertise it, that you may use its photos, name, trademarks and branding in advertising, and that reading the page does not breach the website's terms. Everything in this section 5 applies to those photos as Uploads. Ads you make must be truthful and must follow advertising and consumer-protection law and the rules of the platforms where you publish them; you are solely responsible for the claims, prices and disclosures in your ads, including labelling them as AI-generated where required.

You alone are responsible for your Uploads, your prompts and every use you make of the Outputs. We do not review Uploads before processing, we are not in a position to verify ownership or consent, and we rely entirely on your confirmations.

Licence to us. You give AlphaNode Technologies and our Model Providers a worldwide, non-exclusive, royalty-free licence to host, copy, store, process, screen, transmit, adapt and display your Uploads and Outputs only as needed to provide, secure and improve the safety of the Service, to comply with law, and (for free Genjutsu videos you choose to share) to show them in the gallery and our marketing until you remove them. Uploads are deleted automatically after the period stated in our Privacy Policy; consent records are kept longer as evidence.

6. Real people, celebrities and public figures

• You must not use the Likeness of any real person without their permission. This applies fully to Public Figures. Being famous, being photographed in public, or appearing in widely shared images does not give anyone permission to use a person's Likeness.
• You may use a Public Figure's Likeness only if you are that person or you hold their explicit written permission (or that of their authorised representative or estate) covering your specific use, including commercial use and AI generation.
• Screening. In good faith, we automatically screen Uploads for resemblance to well-known people. When an Upload may show one, we ask you for additional, specific confirmations before it can be used, and we record them. This screening is a courtesy safety measure, not a verification, clearance or approval: it can miss people and it can flag look-alikes. Passing or failing the screen does not mean an Upload is lawful or unlawful, and it does not shift any responsibility to us.
• You must never use Outputs to impersonate anyone, to suggest that a person said, did or endorsed something they did not, to deceive voters, consumers or the public, or to present AI-generated material as real footage of real events.
• Any use of a Public Figure's or any other person's Likeness is entirely your responsibility and at your own risk. You will answer, at your own cost, any claim, complaint, demand or proceeding by that person, their representatives, estate, employer, agency, label, studio or any authority.

7. What you must not do

You must not use the Service, Uploads or Outputs to create, request or share, or to help anyone else create or share:

• any sexual, nude or sexually suggestive content of a real, identifiable person, or any content that sexualises minors in any way, including fictional or AI-generated minors;
• deepfakes or other content that impersonates, defames, harasses, bullies, threatens, stalks or humiliates anyone, or that reveals someone's private information;
• election or political disinformation, fake news footage, fake evidence, fraud, scams, phishing, or content designed to mislead people about who made it or whether it is real;
• content that infringes intellectual property or other rights, including copying protected characters, logos, artworks or footage you do not have rights to;
• hate, violent extremism, terrorism, content that promotes self-harm, or content that is otherwise illegal where you or the audience are;
• endorsements or advertisements using a person's Likeness without their written permission.

You must also not break or bypass security, rate limits, screening or payment systems; scrape, resell or share access to the Service except through our API under its terms; reverse engineer the Service; or upload malware.

8. Outputs

• As between you and us, and subject to these Terms, the Model Providers' terms and applicable law, you own the Outputs you create. We make no promise that Outputs are unique, protectable by copyright or free of third-party rights.
• You are responsible for checking Outputs before use, for obtaining any further rights you need, and for labelling them as AI-generated wherever a law, regulation or platform rule requires it.
• Free Genjutsu videos, gallery items, model previews and demos carry our watermark. Do not remove or hide it from those files.

8A. Templates, earnings and withdrawals

Selling templates. You may offer the recipe behind an ad you made with the Service (its style, script and format) as a template, for free or for a price in credits that you set. Only ads generated in Meo Studio can be offered; uploaded videos and other people's work cannot. You confirm that you have the right to offer the template and that its sample video and script don't infringe anyone's rights or show products, brands or people you aren't authorised to show. Buyers get a non-exclusive, perpetual licence to use the template's recipe to make their own ads; they don't get your product, photos or the sample video itself. We may hide or remove any template.

Earnings. When someone unlocks your template, the price in credits (less any marketplace fee we show on the selling screen, currently 0%) is added to your earnings. Earnings are held for 14 days, then become available. The part of a sale that the buyer paid with free credits (for example welcome gifts, offer credits, referral rewards or credits we granted) becomes spend-only earnings: you can move them into your credits but not withdraw them. The part paid with credits the buyer bought can be moved into your credits or withdrawn. Earnings are not a bank deposit, carry no interest and have no cash value until a withdrawal is paid.

Withdrawals. You can request a withdrawal once you have at least 10,000 withdrawable credits ($100 at $0.01 a credit) and have made at least one payment on the Service yourself. We review each request and normally pay it within 7 working days to the PayPal account, UPI ID or bank account you give us; you are responsible for giving correct details and for any taxes on your earnings. We may ask for identity or tax information before paying, and we may refuse, delay or reverse earnings and withdrawals linked to refunds, chargebacks, fraud, self-dealing (including buying your own templates through other accounts), rule-breaking templates or a breach of these Terms. Bank or payment-provider fees may be deducted.

8B. Free zone

The Free zone lets signed-in users make a limited number of free, watermarked videos from a text prompt. By ticking the Free zone box you agree that:

• Free zone videos are made with a third-party model provided by BytePlus (a ByteDance company) under its data programme. Your prompt and the video made from it are shared with BytePlus, which may store them and use them to train and improve its AI models. Data already shared this way cannot be withdrawn from BytePlus later.
• Only the text prompt and the resulting video are shared. You must not include real people's names, personal or confidential information, or anything you don't have the right to share.
• Free zone videos may be shown in our public Free zone gallery unless you untick sharing; you can remove them from the gallery at any time.
• Daily limits apply per account and per network, and the daily quota is shared by all users. We may change, pause or end the Free zone at any time.
• Everything else in these Terms applies to Free zone videos, including section 7. Nothing you make with paid models or uploads is shared under this programme.

9. Enforcement, reports and takedown

• We may, at our discretion and without obligation, review, block, remove or refuse any Upload, request or Output; limit features; suspend or close accounts; withhold or cancel credits; and report conduct to authorities, where we believe these Terms, a law or someone's rights may be broken. Where we act because you broke these Terms, you are not entitled to a refund.
• If you believe content on or made with the Service uses your Likeness or infringes your rights, email us at the address below with: your name and contact details; the content concerned (links or job details); the right you believe is infringed; a statement that you believe in good faith the use is not authorised; and a statement, under penalty of perjury where applicable, that your notice is accurate and that you are the rights holder or authorised to act for them. We will act promptly, which may include removing content and suspending accounts. The person who uploaded it may send a counter-notice with an explanation and their consent evidence.
• We close the accounts of repeat infringers.
• We keep upload confirmations, consent records and screening results as evidence and may share them with rights holders, depicted persons, courts and authorities where the law allows or requires.

10. Your indemnity to us

To the fullest extent permitted by law, you will defend, indemnify and hold harmless AlphaNode Technologies, its owners, directors, employees, contractors, agents, Model Providers and partners from and against every claim, demand, action, investigation, loss, liability, damage, fine, penalty, settlement, cost and expense (including reasonable legal fees) arising out of or related to: (a) your Uploads or prompts; (b) your use, publication or distribution of any Output; (c) any use of the Likeness of any person, including any Public Figure; (d) any breach of your confirmations or of these Terms; or (e) your violation of any law or anyone's rights. We may take control of the defence of any claim at your cost, and you will cooperate with us. This indemnity survives the end of your account.

11. Disclaimers

The Service, the models and all Outputs are provided "as is" and "as available", with all faults. To the fullest extent the law allows, we disclaim all warranties and conditions, express or implied, including of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, availability and uninterrupted or error-free operation. We do not warrant that screening will detect every Public Figure or every problem, that Outputs will meet your needs, or that Model Providers will keep offering a model.

12. Limitation of liability

• We are not liable for User Content or its use. To the fullest extent the law allows, AlphaNode Technologies has no responsibility or liability for any Upload, prompt or Output, or for any use of the Likeness of any person (including celebrities and other Public Figures) by you or anyone using your account, whether or not our screening flagged it and whether or not you gave the additional confirmations.
• To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data, business opportunity or reputation, however caused and even if we were told they were possible.
• To the fullest extent the law allows, our total liability for all claims relating to the Service is limited to the amount you paid us in the 3 months before the event giving rise to the claim.
• Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

13. Third-party services and privacy

The Service relies on third parties such as Model Providers, hosting and payment providers. We are not responsible for their acts, outages or policies. How we handle personal data, including screening and consent records, is described in our Privacy Policy.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or end your access at any time if you break these Terms, if required by law or a Model Provider, or to protect people, rights holders or the Service. Sections 5, 6, 8 to 12, 15 and 16 survive termination.

15. Changes

We may update these Terms. We will post the new version with its date at the top of this page and, for material changes, tell you by email or in the Service. Continuing to use the Service after the update means you accept it. The confirmations you gave with each upload stay in force for that upload.

16. Law, disputes and general terms

• These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts having jurisdiction over AlphaNode Technologies's registered office have exclusive jurisdiction, except that we may seek urgent injunctive relief in any competent court. Mandatory consumer protections of the country where you live still apply to you where the law requires.
• To the extent the law allows, claims must be brought individually, not as a plaintiff or class member in any class or representative action.
• These Terms, together with the Privacy Policy, Refund Policy and the confirmations you give in the Service, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect and that part is enforced to the maximum extent allowed. Our not enforcing a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them with our business. We are not liable for delays caused by events beyond our reasonable control. If these Terms are translated, the English version prevails.

Our commitment

We built Meo Studio for creators and filmmakers, and we respect the rights of artists, rights holders and the people who appear in images and videos. In good faith we ask for clear confirmations, keep them on record, screen uploads for public figures and act quickly on complaints. These measures support, but never replace, your own legal responsibility for what you upload and create.
